1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the website located at xymgrur.click, and any related services, content, features, products, or offerings provided by Vancouver Audio Media Inc. By accessing or using our website or any of our services, including podcast-related production, editing, consulting, distribution, hosting coordination, and associated media services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations in Canada. If you do not agree, you must not use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to that entity.

2. Scope of Services

  • Technical support related to podcast workflows and delivery;
  • Other related media services as described on our website or in a written agreement.

We may modify, suspend, discontinue, or limit any part of the Services at any time, subject to any applicable written agreement. We do not guarantee that all Services will be available at all times, or that results will meet any specific commercial, audience, revenue, or performance outcome.

3. User Obligations and Responsibilities

When using our Services, you agree that you will:

  • Provide accurate, current, and complete information;
  • Maintain the confidentiality of any account credentials, if applicable;
  • Use the Services only for lawful purposes and in compliance with all applicable Canadian laws;
  • Ensure that any content you provide does not infringe the rights of any third party;
  • Obtain all necessary permissions, releases, licenses, and consents for music, recordings, likenesses, trademarks, copyrighted materials, guest appearances, and other content you submit or request us to use;
  • Not upload or transmit unlawful, defamatory, obscene, fraudulent, harmful, or malicious content;

  • Comply with any project specifications, deadlines, technical requirements, or editorial guidelines we provide.

You are solely responsible for the content you provide for use in the Services, including legal compliance, accuracy, and any claims arising from that content. Vancouver Audio Media Inc. is not responsible for verifying the legality or ownership of materials supplied by you.

4. Payment Terms and Conditions

Fees for Services will be communicated in a quote, proposal, invoice, order form, or written agreement. Unless otherwise stated in writing, all fees are stated in Canadian dollars (CAD).

  • Payment may be required in advance, upon milestone completion, or upon invoice issuance, as specified for the relevant project.
  • Invoices are due within the timeframe stated on the invoice or agreement. If no date is stated, payment is due within 14 days of the invoice date.
  • Late payments may result in suspension of Services, delayed delivery, collection efforts, and/or interest charges to the maximum extent permitted by law.
  • Any taxes, levies, duties, or governmental charges applicable to the Services are your responsibility unless otherwise required by law or expressly stated in writing.
  • Chargebacks or payment disputes initiated in bad faith may constitute a breach of these Terms and may result in termination of Services.

Unless expressly agreed otherwise in writing, all payments are non-transferable and must be made using approved payment methods. We may revise our prices prospectively at any time for new orders or renewed engagements.

5. Cancellation and Refund Policy

Cancellation terms may vary based on the scope and stage of the project. Unless a separate written agreement states otherwise, the following applies:

  • You may request cancellation by providing written notice to our contact email.
  • Work already completed, time reserved, third-party costs, and non-recoverable expenses are non-refundable.
  • Deposits or retainers are generally non-refundable to the extent permitted by law, as they secure scheduling and project allocation.
  • If a project is cancelled after work has begun, you may remain responsible for all accrued fees through the effective date of cancellation.
  • Refunds, if any, are issued only at our sole discretion or where required by applicable law, and may exclude administrative fees and processing costs.

We may cancel or pause a project if you fail to provide required materials, approvals, feedback, or payments, or if your conduct interferes with project delivery. In such cases, amounts paid for completed work will not be refunded.

6. Liability Limitations

To the fullest extent permitted by applicable law, Vancouver Audio Media Inc., its directors, officers, employees, contractors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or reputational harm, arising out of or relating to your use of the Services.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services shall not exceed the amount you paid to Vancouver Audio Media Inc. for the specific Service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or CAD $100, whichever is greater, unless otherwise required by applicable law.

Nothing in these Terms limits liability that cannot be limited under applicable Canadian law, including liability for fraud, willful misconduct, or other liability that cannot lawfully be excluded or limited.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all rights, title, and interest in and to the website, trademarks, service marks, logos, templates, workflows, processes, software, documentation, and other materials owned or controlled by Vancouver Audio Media Inc. remain our exclusive property or the property of our licensors.

Upon full payment of all amounts due, and subject to any third-party rights and any separate written agreement, you may receive a limited, non-exclusive, non-transferable license to use the final deliverables we create for you for your internal business or publication purposes. This license does not transfer ownership of our underlying methods, tools, or pre-existing materials.

You represent and warrant that you have all necessary rights to any content, audio, music, interviews, recordings, artwork, or materials you provide to us. You grant Vancouver Audio Media Inc. a limited license to use, reproduce, modify, host, transmit, and process such materials solely as necessary to provide the Services.

Unless otherwise agreed in writing, we may retain copies of work product and project files for archival, quality-control, legal, and business record purposes, subject to our privacy obligations.

You are responsible for ensuring that any personal information or confidential information you provide to us has been collected and shared in compliance with applicable law, including any required consent from guests, clients, employees, or other individuals.

For privacy inquiries or requests regarding personal information, contact us using the information in Section 12.

We may update or modify these Terms from time to time in our sole discretion. Changes will be effective upon posting the revised Terms on our website or upon notice to you, whichever occurs first, unless a later effective date is stated.

Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

11. Applicable Law and Jurisdiction

These Terms and any dispute arising out of or relating to them, the Services, or the parties’ relationship shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles.
